Terms & Conditions for “Vision Kick Giveaway - Post-Event Prize Distribution”

1. General

The following terms and conditions (“Terms”) govern the rules for participating in the “Vision Kick” via Vision Wallet (“Giveaway”) held by VW3 Labs Ltd., CO Services Cayman Limited, PO Box 10008, Pavilion East, Cricket Square, Grand Cayman KY1-1001 (reg. no. 432361) (“Company”) and the resulting legal relationship between the Company and participating Vision Wallet users (“Participant” as defined in clause 3 or “you”). This includes the post-event resolution and claims phase implemented following a mandatory security protocol upgrade to ensure user funds remain secure. Because Vision Wallet is a 100% self-custodial application, the Company does not store passwords or private keys on its servers; consequently, initial unbacked accounts created during the live event that were not secured by the user via a recovery backup were automatically locked by the network protocol for safety. The English version is a referential translation of the original German version of these Terms. In the case of any discrepancy, the German version shall prevail. Please be advised, participating in the Giveaway and this subsequent claims phase shall constitute your unconditional acceptance to be bound by these Terms. This Giveaway took place within the Vision Wallet during the live stadium activation event and concluded via this official post-event claims submission process. These Terms supplement, and are to be read together with, the Product Terms for the Vision Web3 Vision Wallet (the "Wallet Terms") as amended from time to time, which govern your use of the Vision Wallet and which you accepted on downloading and using the Vision Wallet. By participating in the Giveaway and this claims phase, you confirm that you have read, understood and accepted the Wallet Terms, which continue to apply in full to your use of the Vision Wallet in connection with the Giveaway. Capitalised terms used but not defined in these Terms have the meaning given to them in the Wallet Terms.

2. Duration

This Giveaway begins at the time of the halftime on-field kick event and ends exactly 72 hours following the official publication of this corrective claims announcement on the official ACL social media channels (“Giveaway Period” and “Claim Period”). Submissions received after the expiration of this 72-hour window will be void, and any associated claims to the prize pool will be permanently forfeited.

3. Eligibility and Entry

Entry is open to Vision Wallet users (“Participant”) who (a) meet all the entry criteria described in the previous Terms linked to the event and accept these Terms, (b) meet all the requirements described in the respective event: Download the Vision Wallet app and complete account registration during the Giveaway Period. For users who were locked out due to the protocol upgrade, you must generate a new account and immediately execute a secure backup using either a manual recovery seed phrase or the integrated Bitpanda Connect backup protocol. For participants who successfully backed up their initial account during the live event and still maintain access, creating a new account is not required, and you may submit your existing address. Eligible users must copy their correct EVM/Ethereum receive address (beginning with 0x) and submit it through the link provided in the story. (c) have reached the minimum participation age of 18 years, Each person may only take part in the Giveaway via Vision Wallet once. Multiple entries are not permitted. The Company utilizes automated backend data verification systems to cross-reference all incoming wallet submissions against the original live event check-in and registration metadata logs. The Company reserves the right to exclude Participants from the Giveaway in the event of multiple entries. Anyone found to use multiple accounts, submit multiple wallet addresses, or attempt to duplicate their entry to claim the reward more than once will be instantly flagged by the system and permanently disqualified from the entire prize pool. The following natural or legal persons are not eligible to enter the Giveaway: (a) persons performing market making services or any similar services as well as institutional investors, (b) employees and the immediate family members of such employees of the Company or its affiliated companies, parent companies, subsidiaries, participating promotional partners, advertising agencies, and any company involved in the creation, production, or fulfilment of the Giveaway.

4. Prize Drawings, Notifying winners and Distribution of the Prize

After the Claim Period has ended, the Company will, according to the criteria set out below: select all eligible stadium audience Participants who successfully registered to receive an equal split share of the unlocked $VSN airdrop pool. The final total prize pool was determined entirely by the live outcome of the on-field Halftime Challenge during the live event and remains completely unchanged and fixed. The prize value is calculated at the exact same rate mentioned during the actual event of €0.03 Euro per $VSN.

Only participating Vision Wallet users who (i) meet all the requirements described in section 3 and (ii) were not, for whatever reason, disqualified by the Company in accordance with section 5 are eligible to be selected as Winners. The prize will be sent directly via an on-chain transfer to the newly created or verified 0x wallet address of the winners within a 2-week distribution period following the closing of the 72-hour Claim Period and the completion of the anti-fraud cross-reference audit. The Company assumes no responsibility for assets sent to incorrect, mistyped, or non-EVM addresses submitted by the user. In the event a potential Winner cannot be contacted, fails to respond, fails to provide a valid address within the 72-hour window, or refuses the Prize, the potential Winner will be disqualified without further notice and their share will remain within the ecosystem pool. The Company assumes no responsibility for undeliverable notifications. All potential winners may be subject to verification by the Company.

5. Disqualification

The Company reserves the right to disqualify a Participant it suspects or finds (i) to have tampered with the entry and submission process or the operation of the Giveaway, (ii) to be fabricating registration data, double-dipping, or acting in collusion with other Participants aimed at manipulating or disrupting the Giveaway, (iii) to be acting in violation of these Terms or (iv) to have provided inaccurate information. Disqualified Participants will not be entitled to become a Winner or win any other Prize under this Giveaway.

6. Limitation of Liability

To the extent permitted by law, in no event shall the Company be liable for any direct or indirect loss arising out of or in connection with the Giveaway, including but not limited to the locking of unbacked accounts, network updates, user error during the backup process, or copy-paste errors of the 0x wallet string. You acknowledge that under a self-custodial architecture, you are solely responsible for the retention of your access keys and your backup status. The Company reserves the right, without any prior notice or compensation to you, to suspend, cancel, postpone or modify the Giveaway, at any time, for any reason whatsoever. You do not have any legal claim against the Company arising out of or in connection with this Giveaway. Legal recourse is completely excluded.

7. Privacy and Taxes

All personal data collected in connection with the Giveaway is processed by the Company in accordance with the Vision Wallet Privacy Notice. Processing for the purpose of administering the Giveaway and distributing the Prize is carried out under Article 6(1)(b) GDPR (performance of the contract constituted by these Terms), and processing for the purpose of verifying eligibility, preventing multiple entries and detecting fraud (including cross-referencing submissions against the original event check-in and registration metadata logs and Google-based deduplication) is carried out under Article 6(1)(f) GDPR (the Company's legitimate interest in the integrity of the Giveaway).. Winners are solely responsible for any/all applicable taxes related to the Prize. Potential Winner should consult a tax advisor to determine tax implications in accepting any Prize.

8.Miscellaneous & Contact

Should individual provisions of these conditions of participation be or become invalid, this shall not affect the validity of the remaining provisions of these conditions of participation. Cash payment of the prize is not possible. Legal recourse is excluded. The Giveaway is in no way connected to other platforms and is organized independently by the Company. The recipient of the information provided by the participants is the Company as the organiser. Investing carries risks. Conduct your own research before concluding a transaction. In the event of any conflict or inconsistency between these Terms and the Wallet Terms, these Terms shall prevail to the extent the conflict relates specifically to the Giveaway; in all other respects the Wallet Terms shall continue to apply. The Vision Wallet Privacy Notice shall govern all matters relating to the processing of personal data.
